The last in the series of this guide to business loans and finance raising covers ‘property development finance’ through to ‘yield’.

Property development finance – Finance designed to fund property development and so designed to help finance both site purchase and building costs.

Prospectus – A package of information prepared for provision to potentially interested investors in a flotation.

Prudence – The accounting concept of recognising losses as soon as they can be identified, but profits only once they have been earned.

Public limited company (PLC) – A company which meets certain statutory requirements such as the level of its issued share capital and which may therefore be entitled to sell shares to the public. Not all PLCs are however listed on a stock exchange.

Quick ratio – See the definition of acid ratio in part 1 of this series.

Ratchet – Arrangement whereby the management’s stake in the business is increased as the business hits targets.

Receivable – The US equivalent to the UK term debtor.

Recourse – Arrangement where a factor or invoice discounter can recover any advance made to you in respect of any debt that is subsequently not recovered. In a non-recourse arrangement you have protection from this happening.

Regulated loan – A loan where a first charge is given on a domestic property or on a commercial property where over 40% of the area is used as your residence.

Reserves (1) – A business’s retained earnings.

Reserves (2) – Reduction of your availability applied by a factor or invoice discounter to cover any potential exposure (for example to supplier contras).

Rolling bridges – The use of a series of bridging loans, for example to fund a phased property development project.

Sale and leaseback – A way of raising cash by selling an asset and then renting it back.

Second round funding – Further equity investment into a business with an existing external investor (for example by a venture capitalist to develop a business that has had start up or seed money from a business angel).

Secondary buy out – Sale of a VC’s interest in a company to a different VC.

Section 320 – Provision in the Companies Act that prevents a director purchasing substantial assets (broadly anything worth more than £100,000 or 10% of the net assets of the company) without first obtaining the consent of the shareholders.

Security (1) – A source through which a debt can be repaid if the borrower does not make repayments in the normal way, such as a charge over property or other assets.

Security (2) – A document acknowledging that the holder has certain rights (such as repayment of a debt from the issuer).

In the US can be extended to cover a share certificate.

Self certification – The process whereby a borrower confirms that they are able to make repayments on a loan rather than proving it by providing accounts.

Share capital – The capital contributed to a company by its shareholders.

Shareholders funds – The total book value of a company (the net assets on its balance sheet) which is owned by shareholders.

Small Firms Loan Guarantee – A scheme where the Government provides a partial guarantee to lenders for loans made to small businesses.

Sole trader – An individual in business in their own name.

Stapled finance – A package of potential borrowings pre-arranged for the buyer by the seller of a business.

Statement of source and application of funds (SSAF) – Statement showing how profits generated by the business combine with investment in or realisation of assets, together with credit received or repaid, result in a movement in the businesses cash.

Stock (1) – A company’s trading stock comprising raw materials, work in progress, and finished goods stock.

Stock (2) – A company’s shares.

Stock days – A measure of the time taken to convert goods purchased into sales.

Stock exchange – A market in which shares and other securities can be traded.

Structured loans – Loans from an asset based lender across more than one type of asset (eg factoring and a property loan).

Sub prime – Borrowers with significant levels of adverse making them unattractive to mainstream lenders.

Swing – Movement on a current account.

Syndication – Situation where a number of funders combine to jointly fund a project.

Term loan – A loan repayable by an agreed level of installments over a period of years.

Top up funding – Additional mezzanine or equity finance to cover the difference between total costs of a property development project and the sums available under normal property development finance.

Trade finance – Specialist funding of trading transactions such as importing goods for resale.

Transaction at an undervalue – Selling an asset at less than its fair value. In the event of an insolvency, a liquidator will review significant transactions preceding the insolvency and can act to set aside transactions at undervalue.

VC – Venture Capital or Venture Capitalist.

Veil of incorporation – The protection offered to shareholders by a company’s limited liability.

Vendor finance – See deferred consideration.

Venture capitalists (VC) – A firm set up to hold investors’ money and to invest it in high growth opportunities. Generally look to achieve a return of 30% per annum and hold investments for three to five years before selling. Generally tend not to be interested in deals below say, £0.5m investment.

Whitewash report or agreement – Accountant’s report used to enable a business’s assets to be used as security on which to raise money to buy it.

Work in progress – A contract which is not yet complete or goods which are in the process of manufacture but which are not yet finished.

Working capital – A business’s current assets less its current liabilities.

Working capital cycle – The concept that a business’s working capital turns over as it goes through its cycle of trade; suppliers providing goods which become stock and then debtors once sold, with the cash received from debtors then being used to pay suppliers.

Yield – The amount of return received (E for earnings) for the price (P) paid. Usually shown as a percentage.

The Federal Housing Finance Agency is reporting that US home prices have fallen 14.9% since they reached their peak in April of 2007. Mortgage rates have increased less than 1% from their all-time lows during 2010. Underwriting standards continue to be more restrictive each passing day leaving a large percentage of would-be buyers unapproved. Combined, these factors have created a “near-perfect” storm for investors who buy and hold rental properties. So what do investors face when they finally decide to make an offer on a foreclosure, bank REO, or short-sale property?

Loans to investors are available through a variety of sources: Local banks, national banks, non-recourse lenders, mortgage brokers and bankers, hard money lenders, and owner financing. Each has their distinct advantages and underwriting requirements.

Down payment and reserves

In general, an investor needs a minimum of 20% “skin in the game” down payment to begin the process. Additionally, a minimum of six months cash-equivalent reserves must be documented to cover mortgage, tax, and insurance payments after closing. This condition is required of all rental properties in the investor’s portfolio. Therefore, if an investor has three mortgaged rentals with an average P.I.T.I. (principle, interest, taxes, and insurance) of $1200 per month, they will need to prove reserves of $21,600 ($1200 x 3 rentals x 6 months).

Income and debt

The investor’s debt to income ratio cannot exceed 45% by most traditional lender standards. Rental income from existing units must have a minimum 12 month history and a 25% discount is applied to recognize periods of non-occupancy. This must be substantiated by signed and executed rental agreements and tax returns.

Maximum number of properties mortgaged

Currently, Fannie Mae has set a limit of 10 properties financed for any individual. However, there are only a small handful of national lenders who will approve more than four properties, and that is including the individual’s personal residence. A further restriction is imposed by those lenders willing to recognize more than four financed properties: limited loan program selection. Generally these more liberal lenders will require 30-year amortizations for fixed or limited adjustable rate programs. Shorter term loans are not available through the major banks to investors with more than four financed properties.

Credit scores and risk-based pricing adjustments

The minimum mean credit score is generally quoted as 680 by most lenders. Portfolio and non-recourse lenders have lower limits with higher rates. Private (hard money) lenders generally ignore credit scores but offset that risk with onerous rates, upfront fees, and lower loan to value requirements. Some owner financing can be found with a minimum of 25% down payment at the highest rates. Loans for FICO scores below 740 are available from major lenders, but the rates increase with each 10 point increment in score. This “risk-based” element can add up to 1% to the rate of an investor with a 680 score as compared to that available for the 740 qualifier.

Rates and programs

Major lenders price investor loans using the same daily table structures that they use for owner-occupied properties. The major difference is the imposition of discount points. Investors who make 25% down payments are required to pay 1.75 discount points. For those paying more than 25% but less than 20%, the hit increases to 3.0 points. These points are normally paid by locking higher rates. This normally equates to a rate of only ½% to ¾ % higher than those available for owner occupants. Along with purchase loans, refinance programs are generally available. Cash-out loans on investment properties are available through a very limited number of investors.

A recent report has indicated that health care costs in the U.S are still on their way up. While this is discouraging news for just about everyone, there is some good news. Buying Mexico real estate and planning to live in Mexico

even part time can save thousands of dollars in health care expenses for both retirees and families.

Experts predict that the high rate of medical inflation is going to continue during this year, next year and quite possibly beyond. The rate for recent years has been around 9%, and predictions for 2011 are about the same.

Those who have insurance, either private or through work, will also feel this impact of this increase. Some people will see an increase in premiums, others will see an increase deductibles. In 2007, 25% of Americans with insurance through their employer had deductibles of $400 or more. In 2010 the number had increased to 43%, and will probably pass 50% for 2011. Some employees will see both premiums and deductibles rise, and some may no longer receive insurance through their employer in the future.

The cost of health care in Mexico has always been considerably lower than in the U.S., and this difference is always becoming more noticeable. The biggest difference between now and the past, however, is that now Mexico’s private health care facilities have in many cases equalled or surpassed the quality of U.S. hospitals. The World Health Organization has attested to this, and a recent move to have more Mexican hospitals certified by U.S. standards has confirmed this fact even more definitely. Many U.S. patients feel that doctors in Mexico give more personal attention, taking time to sit down and talk to patients.

How much does world-class health care cost in Mexico? On average, 50-70% less than in the U.S., depending on the procedure needed. Doctor’s appointments typically cost about $20. A good selection of reputable generics also makes medicine costs lower. Insurance also costs about 65% less than in the U.S.; a family of 2 adults and 2 children can be insured with complete coverage for about $1500 per year. This adds up to thousands of dollars in savings.

One example of an excellent choice both for families and retirees is Lake Chapala real estate; the towns of Chapala and Ajijic are safe, quiet communities, where homes can be bought for reasonable prices. A bit less than an hour up the road is Guadalajara, Mexico’s second largest city, and one of the prime centers for top health care services in Mexico. This having been said, many other locations throughout Mexico offer excellent hospitals and very affordable access to world-class health care.

Secured loans are one of the best ways to obtain large amounts of money quickly. They’re backed by personal property, usually a home and are therefore available to homeowners, with lenders offering the loan on a secured basis against the property.

Loan Security

Secured loans are typically easier to obtain than an unsecured loan because of the collateral involved. Collateral does come in various forms but the most common is your home, or other property you own.

Loans secured against property that is already mortgaged are known as second charges, where as loans secured against a property owned outright with no existing mortgage in place is known as a first charge. Loans are available for almost any purpose including debt consolidation, home improvements, holidays and car purchases.

Credit Scoring

Lenders frequently use credit scoring facilities and credit reference agencies to assess your suitability. If you are refused a loan or wish to make inquiries concerning your own credit file you can apply to the credit reference agencies for a copy of your credit file.

Credit reference agencies provide a detailed analysis of your financial position as they hold information relating to your credit history, any adverse credit and any existing commitments. They will look at your past credit history and take into consideration any adverse credit such as mortgage arrears, defaults or county court judgements.

Bad Credit doesn’t mean you can’t get a loan.

Bad Credit

Loans are available at reasonable rates even with a bad credit history, which means that you can enjoy lower repayment terms even if your have a tarnished credit history. CCJs and bad credit history need not be a problem when applying. Many Lenders are sympathetic to personal loan requirements whatever they may be, good or bad credit history, employed or self employed.

It’s a competitive market and Lenders need to stay in business, so they’re open to considering a broader spectrum of personal circumstances.

Loan Amounts And Interest Rates

The main advantage of taking out a secured loan is that the interest rates are much lower than most other types of loan and the repayment scan be spread over an amount of time that suit’s the borrower rather than the Lender.

If a Lender knows that the loan amount is tied into the borrower’s property then he knows that the borrower has an extra commitment to keep a roof over his or her head. This security covers the risk factor that is attached to the loan amount.

The Lender will also need to know the value of your home and details ofyour outstanding mortgage and any other loans secured on the property, as already mentioned the amount that you can borrow is based on the amount of equity in your home. Equity is your current mortgage balance taken away from the current value of your house.

It is not necessary for you to own your home or property outright to secure the loan, although you must have sufficient equity in the property to cover the amount borrowed. The actual rate available to you will depend upon your circumstances and the loan amount.

Conclusion

Secured loans offer a flexibility generally not seen with other lending methods, for example loan amounts equivalent to 125% of your property value can be arranged. Typically a remortgage will offer only 90% or thereabouts. 100% self certification is also a possibility. Loan turn around time is also very quick when compared to mortgages, loan deals can be completed within as little as 10-14 days.

There are many signs of economic distress for commercial property owners within the current real estate market. Many experts say a second credit crisis that rivals the residential mortgage crisis is looming for the commercial property owners. All over the country commercial property owners loan modification or restructuring requests are on the rise.

Ben Bernanke, Chairman of the Federal Reserve, recently told Congress that commercial real estate remains the greatest credit issue we have. The Congressional Oversight Panel, has reported their exception that approximately $1.4 trillion in commercial loans will be due for refinancing between now and 2013. With these predictions it would be wise that any business property landlord should be pro-active and take a look at their accounts, in particular those that will be coming due in the next few years and see if a commercial property owners loan modification program or loan restructuring plan would be beneficial.

Who exactly is a commercial property owner?

Most of the time when the term commercial property owner is used, it refers to an individual or group of investors that form a legal corporation that own property and become landlords. Their tenants may be individual people, individual businesses or mixture. Typical commercial property landlords own, apartment buildings, restaurants, office buildings, warehouses, a business complex, shopping centers or other similar multi-tenant buildings.

What kind of business relationship exists between landlord and tenant?

The financial security of the landlord depends on the financial stability of their tenants. The best scenario is that their building is fully occupied, the rents high enough to make a profit, but reasonable enough to keep the tenants happy, and that they are paid on time. In times of financial stress, it is generally in the best interest of the landlord to work with the tenants, even through it means lessening their monthly income. As long as the tenants prove to be viable, with long term potential potential it is usually best to work with them.

What would classify a commercial property owners loan modification?

A commercial property loan modification means what it says, the terms of the loan are modified with a reduction or resetting of interest rates, some come of payment deferment for the past due amounts for a designated period of time, or in some special cases a lowering or readjustment of the principal. The goal is to allow a struggling business to bring down the mortgage installment payments to an affordable range.

What Kind of hardship is needed for commercial property owners loan modification applications?

Basically the acceptable financial hardships that commercial landlords need to be able to prove is loss of income due to vacancies in the building, a decrease in the rent income, a reduction in sales revenue, or ant losses of income due to concessions made to tenants to help them ride the financial storm.

How do commercial loan lenders and commercial property owners benefit?

There is really a kind of symbiotic relationship between commercial loan lenders and commercial property owners. Loan modification usually allows both to gain from a successful business, and both can share in the risk when hardships arise. The bottom line is it is important to keep the business sector of any community, no matter how large or small viable. Commercial property owners loan modification programs will benefit everyone as widespread failure will disrupt local communities.

It has always been felt that property of any kind is a good investment. In these economic times with so many foreclosure properties it is an excellent time to consider this option. Many properties are selling at a fraction of their real worth and it is doubtful that the opportunity to make such a profitable USA property investment will ever again appear in one’s lifetime.

Investors who are in the know are making these purchases, viewing a long term capital growth which will come about when the stability of the market takes place. They are well aware, from past experience that the answer to profit is taking advantage of the present and having the patience to wait for it to pay off. This is what making money is all about.

It is possible for a shrewd investor to purchase a foreclosed property near a popular location, hold on to it for a couple of years and then re-sell at a very good profit. Many people are doing this, renting the property in the meantime until its value is once again where it should be. If one checks back in history they will find that many wealthy people started out this way.

Condo purchases in the cities, as well as places like Hawaii promise a good return on one’s money. In Hawaii, especially, one can arrange for a property manager and offer the condo as part of a holiday package. This way, visitors will pay good money for the opportunity to stay in a nice place for their vacation and the property manager will see that it is well taken care of. An additional bonus is that the owner can use it for his or her vacation also.

With properties selling at the current price making a purchase is a very wise investment. Putting one’s money in a condo or house and renting it out assures one of an immediate return on their money. If it is necessary to borrow the money to make the purchase then one has someone else making the payments, usually with something left over to be put aside for possible repairs.

It has been proven over the years that property investment is the best kind to have. While there might be times where the market value has fallen, the land is not going anywhere and, if a person does not panic, it will still be there many years down the road. If one looks at the shrewd investor one will see them making these purchases as a way to secure their money rather than take a chance on something like the stock market.

Areas such as Florida and Las Vegas offer an excellent opportunity for investment. Their ideal climate and many activities attract many people to the area. These kinds of areas, that offer tourist attractions, are very much in demand and offer a chance of a re-sale market with substantial capital growth.

There are companies who work internationally to sell properties. They have the pulse of the people overseas who are interested in American property. Properties in vacation ‘hot spots’ are especially favored. No matter where one buys there will always be the opportunity to make money with a USA property investment.
